Terms
Version of August 24, 2026. Business-to-business sale of a customized service. These terms prevail over any purchase terms of the customer unless agreed otherwise in writing.
1. Scope
These terms govern the sale by 9478-7637 Québec inc. ("we", "us") of the rebuild and launch of a website for a dental clinic ("you", "the Customer").
We sell only to businesses buying for the purposes of their practice. By ordering, you confirm you are doing so. We do not sell to consumers, so Quebec’s Consumer Protection Act and its provincial equivalents do not apply to this sale.
Placing an order means you accept these terms in full. They are permanently available on this site and are reproduced in your order confirmation email.
2. Definitions
- Mockup
- the site already built and shown to you before you order, from the public content of your existing website.
- Site
- the Mockup, corrected and launched on your own domain.
- Engine
- the shared program that produces the three-dimensional sequence and animations. We own it.
- As delivered
- the Mockup shipped with no change beyond correcting factual errors.
- Tailored
- the Mockup with two rounds of revisions, paid in two equal installments.
- Acceptance
- your approval of the Site before it goes live.
3. Plans, price, and tax
The price is CAD 1,297 before tax under either plan. "As delivered" is paid once, at checkout. "Tailored" is paid in two equal installments of CAD 648.50: the first at checkout, the second on delivery, after Acceptance.
Prices are before tax. Applicable GST, HST, or QST is calculated and added at checkout where we are required to collect it. Where we are not, no tax is charged and you may have a self-assessment obligation.
The price includes both language versions of the Site, French and English, at no extra cost.
Prices are exclusive of tax. We are registered for GST/HST and QST: the GST (5%), or the HST at your province’s rate, applies to every Canadian sale, and the QST (9.975%) applies to a Customer established in Quebec. Applicable taxes are calculated and added at checkout, and our registration numbers appear on the invoice.
4. Orders
Orders are placed online. The contract forms when your first payment is accepted by the payment processor, not when you submit the form.
You receive an immediate confirmation email setting out the plan, the price, the details you entered, and these terms.
We may decline an order, for instance where the domain given matches no identifiable clinic, where the details are plainly wrong, or where a dispute is open. Anything paid is refunded in full within seven days.
5. Payment and late payment
Payment is by card through Stripe. Card data never passes through our servers and is never stored by us.
The second installment of the Tailored plan is due on Acceptance and payable within thirty days of the invoice date.
Undisputed amounts unpaid at due date bear interest at 1% per month, or the maximum rate permitted by applicable law if lower, plus reasonable costs of collection.
If the second installment is not paid after a reminder left unanswered for fifteen days, we may suspend delivery of the files and the assignment of rights under section 10. A Site already live is not taken down.
6. What you must provide
Within seven days of ordering: your licence details, the contact address to appear on the site, current service and insurance information, and either access to your domain’s DNS zone or the ability to add the records we send you.
You warrant that you own the domain the Site will be published on, or are authorized to use it.
You are solely responsible for the accuracy of everything you send us, including fees, credentials, and specialty designations. We never invent, round, or estimate any of it.
You are solely responsible for whether the content published on your Site complies with your provincial college’s advertising rules, with the Competition Act, and where applicable with the Charter of the French Language. We apply a filter that removes obviously non-compliant sentences, testimonials, comparisons, guaranteed outcomes, discounts, but that filter is an aid, not a compliance guarantee. It does not transfer your responsibility to us.
7. What we must do, and when
We will put the Site live within seven business days of receiving the items in section 6 for the As delivered plan, and within twenty-one business days for the Tailored plan, provided you respond promptly during the revision rounds.
Deadlines pause while we are waiting on you. If we miss a deadline for a reason on our side, you may choose to let us continue or to cancel and be refunded in full.
The Tailored plan includes two rounds of revisions. Clinical copywriting, photography, custom software, and integrating a third-party scheduling product are excluded and quoted separately.
8. Acceptance and launch
We put the Site on a preview address. You have seven days to report anything wrong, in writing. If you do not respond within that window and a reminder goes unanswered, the Site is deemed accepted.
Your existing site stays up until you expressly tell us to switch.
Launch includes installing an HTTPS certificate, renewing it automatically, and redirecting every old URL to its matching page.
9. Cancellation
This is a business purchase of a customized service that begins on your order. There is no general right to cancel once work has started.
You may cancel at no cost by writing to cryptozebi@outlook.com before we begin work, which in practice means within twenty-four hours of ordering. After that, you are liable for the work already performed, capped at the total price.
If we fail to deliver within the stated window for a reason on our side, you are refunded in full, to the original payment method, within fourteen days.
10. Intellectual property
You keep full ownership of your copy, logo, photographs, and any data you provide or that is taken from your existing site.
On payment in full, we assign to you, exclusively and for the full term of protection, the reproduction, display, and adaptation rights in the delivered Site pages, their HTML, their own stylesheet, and their content, worldwide and for any digital medium. To the extent permitted by law, we waive the exercise of our moral rights in those pages.
The assignment does not cover the Engine, which stays ours. You receive a non-exclusive, worldwide, royalty-free, perpetual licence to use it for the delivered Site only. You may not resell it, sublicense it, or use it for another site.
The delivered Site carries no signature, backlink, or mention of us unless you ask for one.
11. Hosting
The first year of hosting is included and runs from launch. The Site is static, with no database.
At the end of the year you either renew with us at the then-current rate, or take the complete files and host them anywhere. Declining to renew never results in content being removed or files withheld.
We do not offer a contractual uptime guarantee and are not responsible for outages caused by the host, your registrar, or your connectivity.
12. Warranties, disclaimers, and liability
For twelve months from launch, we fix at no charge any technical defect attributable to us: a page that will not load, broken rendering, a failed redirect, an expired certificate.
Apart from that express warranty, the Site is provided as is and, to the maximum extent permitted by applicable law, we disclaim all implied warranties. We do not warrant any search ranking, any volume of new patients, or any business outcome.
We make no representation that the Site complies, in your particular case, with a provincial college’s advertising rules, with the Accessibility for Ontarians with Disabilities Act, or with the Charter of the French Language. We build to WCAG 2.1 level AA and ship both language versions because that is the right way to do it; whether a court or a regulator agrees in a given case cannot be promised by anyone, and this document is not legal advice.
Our total liability, on any theory, is capped at the amount you actually paid us for the order concerned. We are not liable for indirect or consequential loss, including lost patients, lost revenue, lost rankings, or reputational harm.
Nothing in these terms limits liability that cannot be limited under applicable law.
13. Indemnity
You will indemnify us against third-party claims arising from content you supplied or approved, including claims that it is misleading, that it infringes someone’s rights, or that it breaches a professional advertising rule.
14. Personal information
How we handle personal information is set out in the notice linked at the foot of every page, which forms part of these terms.
The delivered Site is not designed to receive personal health information. If you want a form collecting more than a name, a phone number, and a preferred time, tell us before you buy: we will route it through a service built for that.
15. Force majeure, termination, and general
Neither party is liable for a failure caused by an event beyond its reasonable control. If the impediment is permanent, the contract ends and sums paid are refunded pro rata for work not performed.
Either party may terminate for a material breach not cured within thirty days of written notice.
If any provision is unenforceable, the rest stands. Failure to enforce a right is not a waiver of it. You may not assign these terms without our written consent; we may assign them to a successor to our business.
16. Governing law and venue
These terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, excluding the United Nations Convention on Contracts for the International Sale of Goods and excluding conflict-of-law rules.
The parties will try to settle any dispute amicably. Failing agreement within thirty days, the dispute goes to the competent courts of the judicial district of Montréal, Québec, Canada.
Both parties are businesses. Nothing here displaces a public order provision of the province where you practise that cannot be displaced.
17. Language versions
These terms exist in French and English. Both versions have equal value. In case of divergence, the French version prevails for a Customer established in Quebec.
